Clix Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Clix. (“Clix,” “we,” “us,” or “our”) and govern your use of our platform, APIs, SDKs, and related services (collectively, the “Services”).
If you use the Services on behalf of an organization, you’re agreeing to these Terms for that organization and confirming that you have the authority to bind that organization. If you do not agree to these Terms, do not use the Services.
1. Services and License
1.1 License Grant
Subject to your compliance with these Terms, Clix grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services, including our SDKs and APIs, solely for your internal business purposes.
1.2 SDKs and APIs
You may integrate Clix SDKs and APIs into your applications in accordance with our documentation. You may not:
Modify, distribute, or sublicense the SDKs outside your application;
Exceed usage limits without our consent;
Use the SDKs to create a competing product.
2. Customer Content and Data
2.1 Ownership
You retain ownership of any content, data, or materials (“Customer Content”) you send through the Services. You grant Clix a worldwide, non-exclusive license to use, process, and store Customer Content solely to provide and improve the Services.
2.2 Data Compliance
You are solely responsible for the accuracy, legality, and use of your Customer Content. You must comply with applicable laws, including data protection laws (e.g., GDPR, CCPA).
3. Account Registration
You must provide accurate information when registering. You’re responsible for keeping your credentials secure and for all activity under your account. If you suspect unauthorized use, notify us immediately.
4. Plans, Pricing, and Payment
4.1 Free and Paid Plans
We offer both free and paid tiers of the Services. Each plan includes different feature sets and usage limits, described on our pricing page. Free-tier access may be limited or modified at any time.
4.2 Billing and Renewal
Paid subscriptions are billed in advance, either monthly or annually, based on your selected plan. Fees are non-refundable unless required by law. Subscriptions renew automatically unless canceled before the renewal date.
4.3 Usage Limits
If you exceed the limits of your plan, we may restrict access or charge overage fees. We’ll notify you if you approach or exceed these limits.
5. Acceptable Use
You agree not to:
Use the Services for spam, abuse, or illegal content;
Interfere with or disrupt our systems;
Use the Services in violation of laws or third-party rights;
Attempt to reverse-engineer or copy any part of the platform;
Circumvent technical restrictions or usage caps.
We reserve the right to suspend or terminate your account if you violate these rules.
6. Service Availability and Support
We aim for high uptime but do not guarantee uninterrupted service. Maintenance, updates, or outages may affect availability. Support is offered based on your plan level and response time commitments.
7. Changes to the Services
We may add, remove, or change features at any time. We will give advance notice for material changes that affect paid functionality. Your continued use after changes means you accept the updated Services.
8. Term and Termination
8.1 Termination by You
You may cancel your account at any time through your account settings. Termination will take effect at the end of your current billing period.
8.2 Termination by Us
We may suspend or terminate access to the Services if:
You violate these Terms;
You fail to pay fees;
Required by law.
8.3 Data Retention
After termination, we may delete your Customer Content from our systems unless required to retain it by law or agreement. You are responsible for exporting your data before termination.
9. Intellectual Property
All rights in the Services and related content, including Clix’s software, branding, and documentation, belong to Clix or its licensors. These Terms do not grant any rights other than as expressly stated.
10. Feedback
If you provide suggestions, comments, or other feedback, you grant Clix a worldwide, royalty-free, perpetual license to use it for any purpose.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, OR DATA. CLIX’S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO CLIX IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless Clix, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, or liabilities arising from:
Your use of the Services;
Your violation of these Terms or applicable law;
Your Customer Content.
14. Governing Law and Dispute Resolution
These Terms and any dispute related to the Services will be governed by and construed under the laws of the State of California, without regard to its conflict of law principles. You and Clix agree to submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, to resolve any legal matter arising from these Terms or the Services. You and Clix waive any right to participate in class actions or class-wide arbitration.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we’ll notify you by email or through the Services. Continued use of the Services after the update means you accept the revised Terms.
